Terms of Service

1. Service provider identification
Orderi ("we", "the provider") is operated by Marcos Jesús González Navarrete, personal ID 504390996, with tax domicile in Guanacaste, Costa Rica, contact nmsoftwarelabinfo@gmail.com and 6334-8461.
2. Service description
Orderi is a multi-tenant SaaS platform that allows businesses to manage orders received via WhatsApp and other digital channels, including product catalog, order board, delivery zones, analytics, and related features.
3. Acceptance of these terms
By creating an account, checking the acceptance box, or using the service, you ("the customer" or "the tenant") declare that you have read, understood, and accepted these Terms and the Privacy Policy. If you do not agree, you must not use the service.
4. Account and customer responsibilities
- You are responsible for the accuracy of your store's information, products, and prices.
- You are responsible for complying with your own legal obligations toward your end customers (Costa Rican Law 7472, Law 8968, tax obligations, etc.).
- You are responsible for keeping your access credentials confidential.
- Using the service for illegal or fraudulent purposes, or in a way that infringes third-party rights, is prohibited and may result in immediate suspension.
5. Relationship between the business and its end customers
Orderi is a management tool (technology infrastructure); it is not a party to the sales you make. The sale relationships between you and your end customers (buyers who place orders through your store, WhatsApp, or catalog) are direct contracts between you and that customer. You are solely responsible to your customers for the accuracy of prices, inventory, product quality, delivery times, return policies, and any claim arising from the sale.
Orderi does not currently process the payments for the sales you make to your end customers (you handle that collection through your own means: cash, SINPE, or your own payment provider). Orderi only charges the service subscription, as described in the following section. If Orderi offers payment processing for your store's sales in the future, that service will be governed by additional terms that will be notified to you and will require your express acceptance.
6. Subscription plans, payments, and billing
Current Orderi subscription prices are published on the pricing page. Subscription payments are processed through an external payment provider (Onvo). Non-payment may result in suspension or downgrade of the service to a lower-capacity plan, upon prior notice. No refunds are granted for the subscription, unless required otherwise by applicable law.
7. Third-party services
Orderi integrates with third-party providers (infrastructure, payment processing, messaging) to operate. We are not responsible for failures, changes in terms, or unavailability of such third-party services. Use of third-party integrations is at your own risk, and you agree that your data and your customers' data may be shared with such providers to the extent necessary to provide the service.
8. Feedback and suggestions
If you send us feedback, ideas, or suggestions about the service, you grant us the right to use them freely to improve Orderi, with no obligation of compensation or confidentiality over such feedback.
9. Service availability ("As Is")
The service is provided "as is" and "as available", without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be uninterrupted, error-free, secure, or free of viruses or other harmful components. We make reasonable "best effort" to keep the service available, but we do not offer a Service Level Agreement (SLA) with guaranteed compensation unless expressly agreed in writing.
10. Limitation of liability
To the maximum extent permitted by Costa Rican law, Orderi and its principals will not be liable for indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, revenue, data, goodwill, or other intangible losses, arising from: (a) use or inability to use the service; (b) outages, interruptions, or unavailability of the service; (c) unauthorized access to or alteration of your transmissions or data; (d) any other matter related to the service. In any case, Orderi's total cumulative liability to the customer will not exceed the amount paid by the customer in the three (3) months preceding the event giving rise to the claim.
11. Indemnification
The customer agrees to indemnify and hold Orderi harmless from any claim, damage, or expense (including reasonable legal fees) arising from the customer's or their end customers' misuse of the service, or from breach of these Terms.
12. Intellectual property
The software, brand, design, and content of Orderi are the property of Marcos Jesús González Navarrete or his licensors. The customer retains ownership of the data and content they upload to the platform (products, images, their customers' information). By uploading such content, the customer grants Orderi a limited license to store, display, and process it solely for the purpose of providing the service (for example, showing their catalog on their digital store).
13. Suspension and termination
We may suspend or terminate access to the service in case of non-payment, misuse, or breach of these Terms, with reasonable notice when possible. The customer may cancel their account at any time. After termination, data may be retained for a reasonable period for backup purposes before final deletion.
14. Changes
We may update these Terms occasionally. Significant changes will be notified by email or through a notice within the platform at least 15 days in advance.
15. Governing law and jurisdiction
These Terms are governed by the laws of the Republic of Costa Rica. Any dispute will be submitted to the competent courts of Guanacaste, Costa Rica.
